GENERAL TERMS AND CONDITIONS (GTC) OF DIGISELL Services GmbH

Welcome to www.digisell.com (“Digisell”, “we”, “our”, or “us”). By accessing or using our services, you (“User”, “you”, or “your”) agree to be bound by these Terms of Service (“Terms”).

Only the German version of these Terms of Service  is legally binding. The English version is for convenience.

1. Provider Information
Digisell is operated by Digisell GmbH, Berlin, Germany, registered in the commercial register under HRB 240477 B. You can contact Digisell by email at [email protected]

2. Service Description
Digisell provides a service that analyzes the online shops of e-commerce merchants with the help of artificial intelligence and offers recommendations on suitable tools and measures to improve efficiency. These recommendations are non-binding and it is entirely the responsibility of the user whether and how they are implemented. Digisell does not provide any guarantee for success or specific results.

3. Access Requirements and Registration
The use of the service requires a prior application and approval by Digisell. There is no entitlement to approval. Registration requires at least a username and a valid email address. Users are obliged to keep their login data confidential and secure from access by third parties.

4. Contract Conclusion
By applying and registering, the user makes an offer to conclude a usage contract. The contract is only concluded once Digisell has provided explicit confirmation and activation. The contract is concluded exclusively in German.

5. User Obligations
The user undertakes to use the service exclusively within the framework of statutory provisions and for lawful purposes. Misuse of the service, for example by manipulation, reverse engineering, or violation of third-party rights, is prohibited. Users are solely responsible for the content and data they provide.

6. Fees
Unless otherwise agreed, the use of the service is free. Some services are subject to fees as laid out in the valid price list. The applicable prices are shown to the user before the conclusion of the contract.

7. Limitation of Liability
Digisell is liable without limitation for damages resulting from injury to life, body, or health as well as in cases of intent and gross negligence. For slightly negligent breaches of essential contractual obligations, liability is limited to the foreseeable damages typical for the contract. Digisell does not assume any liability for economic success based on the recommendations.

8. Warranty
The service is provided “as is” and “as available”. Digisell does not guarantee uninterrupted or error-free availability of the platform.

9. Privacy
The processing of personal data takes place in accordance with our Privacy Policy.

10. Term and Termination
The usage contract is concluded for an indefinite period of time. Users may terminate the agreement at any time by notifying Digisell. Digisell reserves the right to suspend or terminate access if these Terms are violated.

11. Changes to Terms
Digisell is entitled to amend these Terms and Conditions with effect for the future insofar as this is required due to legal or technical developments. The user will be informed of any amendments at least four weeks before they take effect. If the user does not object within four weeks of notification, the amendments shall be deemed accepted. In the event of an objection, Digisell reserves the right to terminate the contractual relationship and to discontinue the provision of services.

12. Governing Law and Jurisdiction
These Terms are governed by German law, excluding the UN Sales Convention. For merchants, the exclusive place of jurisdiction is the registered office of Digisell.

13. Final Provisions
If any provision of these Terms is invalid, the validity of the remaining provisions shall not be affected. Amendments and additions to these Terms must be made in text form.
